Terms And Conditions Of Website Usage

Welcome to Yakima Valley Hops LLC. (“YakimaValleyHops.com”, “YVH”, "we", "our", or "us"). By accessing or using our website (the "Site"), you ("User" or "you") agree to comply with and be bound by these Terms and Conditions of Website Usage ("Terms").

PLEASE READ THESE TERMS CAREFULLY. If you do not agree with these Terms, you must not use the Site.

1. Definitions

"User" refers to any individual, company, or entity accessing or using the Site.

"Site" includes yakimavalleyhops.com and all related subdomains, services, content, and features.

"Content" includes all materials on the Site, including but not limited to text, graphics, images, video, audio, data, and software.

"Promo Code" means any promotional or discount code issued by YVH for limited use and subject to applicable terms.

2. Promo Codes and Discounts 

(a) Promo codes may be issued by YVH for promotional purposes. Use of such codes is subject to the specific terms and conditions indicated at issuance, including but not limited to expiration dates, single-use restrictions, geographic limitations, and minimum purchase thresholds.

(b) Promo codes may only be used on the Site and are void where prohibited. YVH reserves the right to refuse redemption of any code that appears altered, fraudulent, or misused.

(c) Promo codes may not be resold, transferred, exchanged for cash, or combined with other offers unless expressly permitted.

3. Privacy - Use of the Site is subject to YVH's Privacy Policy, which is incorporated herein by reference. The Privacy Policy outlines how we collect, use, disclose, and protect personal information. By using the Site, you consent to our data practices in accordance with applicable federal privacy regulations (including FTC guidance) and the Washington State Consumer Protection Act.

4. User Accounts and Registration

(a) Certain features may require User registration. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information.

(b) You are responsible for safeguarding your username and password and for all activity that occurs under your account. YVH shall not be liable for any unauthorized access resulting from your failure to maintain security.

(c) YVH reserves the right to suspend or terminate your access to the Site or any part thereof if any information provided is false, misleading, or violates these Terms.

5. Prohibited Activities

You agree not to:

·      Upload or transmit any content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable;

·      Violate any applicable local, state, federal, or international laws or regulations;

·      Infringe the intellectual property rights or privacy rights of YVH or any third party;

·      Use the Site to transmit viruses, malware, or other malicious code;

·      Attempt to gain unauthorized access to the Site, other user accounts, or systems connected to the Site.

YVH may investigate and take appropriate legal action, including removal of content and termination of access.

6. Intellectual Property

(a) Ownership: All Content on the Site is owned by YVH or its licensors and is protected under U.S. and international copyright, trademark, and other intellectual property laws.

(b) Limited License: Users are granted a limited, non-exclusive, non-transferable license to access and use the Site and its Content for lawful personal or internal business purposes only.

(c) Restrictions: You may not reproduce, modify, distribute, create derivative works of, or publicly display any part of the Site without YVH’s prior written consent.

(d) Infringement Claims: If you believe your intellectual property rights have been violated, please contact us with a detailed claim.

7. Compliance with Laws - You agree to comply with all applicable laws and regulations when using the Site, including but not limited to intellectual property, export control, consumer protection, and online conduct statutes.

8. Limitation of Liability - TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAKIMA VALLEY HOPS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE.

9. Indemnification - You agree to indemnify, defend, and hold harmless YVH, its affiliates, officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use or misuse of the Site, your violation of these Terms, or your violation of any third-party rights or applicable laws.

10. Governing Law and Dispute Resolution - These Terms shall be governed by the laws of the State of Washington, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Washington. You hereby waive any right to a jury trial. Any and all claims shall be subject to the following Dispute Resolution remedies:

1. Mediation. Any claim arising out of or related to the use or this website, other than for injunctive relief which is necessary to protect and preserve the rights and interests of Yakima Valley Hops LLC. from irreparable harm, shall be subject to mediation as a condition precedent to arbitration. In this regard, a complainant may request mediation by the filing of a request for mediation with Yakima Valley Hops LLC. A mediator shall be selected by the American Arbitration Association (“AAA”) pursuant to the mediation procedures of the AAA, whose rules and procedures are incorporated herein for the limited purpose set forth in this paragraph. The mediation shall take place no later than thirty (30) days following the date of the appointment of the mediator and shall be conducted pursuant to the AAA’s mediation rules. The initial complainant shall pay the mediator’s fee and the AAA filing fees. The mediation shall be held at a location determined by the mediator.  
2. Arbitration. Any claim arising out of or related to the use of this website shall be subject to arbitration. Yakima Valley Hops LLC may demand arbitration to resolve any dispute. The arbitration shall proceed before a single, neutral arbitrator who shall be appointed by the presiding judge of the Superior Court for Yakima County, State of Washington, on application by Petition for Appointment of Arbitrator filed by either party. The arbitration shall proceed in accordance with applicable law and at a location selected by the arbitrator. All fees and costs incurred by the arbitrator shall be paid by the complainant, unless the arbitrator awards attorneys’ fees and costs to one party or the other, in which event the party required by the arbitrator to pay attorneys’ fees and costs shall pay the arbitrator’s fee and all costs of arbitration

11. Disclaimer of Warranties - The Site and all Content are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. YVH does not guarantee that the Site will be error-free, uninterrupted, or secure.

12. Modifications - YVH reserves the right to modify or update these Terms at any time. Changes will be effective upon posting. Your continued use of the Site constitutes acceptance of the revised Terms.

13. Termination - YVH may suspend or terminate your access to the Site without notice for conduct that YVH reasonably believes violates these Terms or is harmful to YVH or other users.

By using this Site, you acknowledge that you have read, understood, and agreed to these Terms.

General Terms and Conditions of Online Sales

1. Nature of Agreement. These General Terms and Conditions of Online Sales ("Terms and Conditions"), together with the Terms and Conditions of Website Usage (“Terms of Usage”), shall govern all sales of hops, processed hops, or other products, (together, “Hops”) from Yakima Valley Hops LLC ("YVH") to Buyer by means of YVH’s designated Online Platform (the “Site). These Terms and Conditions and Terms of Usage constitute the entire agreement between the parties. Additional terms and conditions proposed by Buyer in connection with an Online Order will not be effective. Any change to an existing Online Order must be separately agreed with YVH in writing to be effective.

2. General Conditions - We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

3. Accuray, Completeness, and Timeliness of Information - We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk. This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

4. Errors, Inaccuracies, and Omissions - Occasionally, there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

5. Account Registration - Some parts of the Site including ordering and purchasing hops and hops products will require registration for an account. Buyer agrees to provide accurate, current, and complete information during the registration process and update such information if necessary. Buyer is responsible for maintaining the confidentiality of their account credentials and for all activities under the Buyer’s account.

6. Online Orders - The contract created by Buyer’s Online Order will be deemed binding only upon YVH’s acceptance of the Order, which will be evidenced by an Order Confirmation to the email provided by Buyer as a part of Buyer’s Account Registration. Buyer’s failure to provide accurate and complete information, including payment details, as a part of its Account Registration or otherwise operates to void Buyer’s Online Order at YVH’s discretion.

7. Online Pricing and Availability - The availability of hops and hops products are subject to current stock levels, which may vary. Availability is not guaranteed for specific hop varieties, quantities, or specifications. Pricing for Online Orders is as set forth on the Online Platform. Prices may fluctuate depending on market conditions, but once an Online Order is confirmed, the price at the time of order placement will be honored. Payment must be made through YVH’s accepted payment methods at the time of order. Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

8. Accuracy of Billing, Order, and Account Information - We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

User Comments, Feedback, and Other Submissions - If, at our request, you send certain specific submissions (for example product reviews) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

10. Shipping Terms; Delivery - Sales are made and Hops delivered to domestic locations, FCA Incoterms® 2020 per ICC at a YVH warehouse, Yakima, Washington, or at a facility of a YVH affiliate, unless otherwise specified in the Online Order. Shipping fees and delivery times are determined at the time of checkout based on your delivery address and selected shipping method. YVH will process and ship all orders in a timely manner but cannot guarantee specific delivery dates.

 (a) Processing Times. Lead times vary by the type of product, as noted below:

·       In-stock items are shipped by the next business day if courier shipments are possible (up to five cartons).

·       Bulk orders (three cartons or more) are shipped LTL, which are typically processed and on trucks within 2 business days.

·       For large, advanced product orders (5+ pallets), orders can take up to 10 days to prepare. Please allow sufficient time for delivery.

·       Products that are made-to-order are dependent on production schedules. Please contact a YVH Sales Representative for more information on lead times

(b) Shipping Methods. Standard shipping for a cost-effective solution is available or Buyer may opt for expedited shipping if an order is required by a specific date. Subject to inventory availability at the time of purchase.

(c) Shipping Rates. Shipping costs are calculated based on weight and destination. Please review your Purchase Order for detailed information on charges.

(d) Tracking Orders. Buyer will receive a notification with a tracking number to monitor progress of the order once it has shipped. If notification is not received within 5 business days of placing an order (10 days for large bulk orders), please reach out to a member of our Customer Care Team through the Contact Us form provided on portal.

11. Order Changes or Cancellations - Any changes to an Order or cancellation of an order must be made within 2 hours of submission. Change requests made after the 2-hour period are subject to approval by YVH and may not be applied.

12. No Repackaging; No Further Processing - In the event Buyer resells Hops purchased from YVH: (i) Buyer may not repackage the Hops; (ii) Buyer may not change any trademark(s) or other references that are on the Hops or their packaging at the time of sale to Buyer; and (iii) Buyer may not in any manner further process the Hops into different hops products, whether to be used for brewing or any other purpose.

13. Inspection; Warranty; Disclaimer - Buyer shall inspect the Hops and notify YVH in writing if, on delivery, (a) the Hops are damaged or defective, or (b) the Hops fail to meet specifications. The Hops specifications are as provided on YakimaValleyHops.com. YVH warrants the Hops will meet the specifications until their “Best By” date, provided the Hops are properly stored, treated, and cared for by Buyer, including adherence to any instructions from YVH. YVH disclaims all other warranties, including the implied warranties of merchantability and fitness for a particular purpose.

14. General Refunds; Defective Products - YVH cannot accept returns on products that have been opened or used, as their condition cannot be assessed once removed from their original packaging. If hops or hop products arrive damaged or defective, please contact us within 14 days of receipt. We will arrange for a replacement or issue a refund.

15. Limitation of Liability - YVH's liability to Buyer for any losses in connection with a sale of Hops shall be conditioned on Buyer's having thoroughly inspected the Hops and properly notified YVH of any damage, defect, or failure to meet specifications. Liability shall be limited to, at YVH's election, (i) replacement of the nonconforming Hops or (ii) refund of the purchase price corresponding to the nonconforming Hops. YVH shall not be liable to Buyer for any consequential, incidental, special, punitive, non-compensatory, or indirect damages, including loss of profits, reputation, business, or losses caused by delayed delivery. In any event, YVH’s liability for losses resulting from or related to the performance or non-performance of any Online Order shall not exceed the Order price of the Hops at a maximum limit of $1,000,000 per occurrence and $2,000,000 in the aggregate.

16. Indemnity - Buyer agrees to indemnify and hold harmless YVH for any losses suffered by YVH, including from claims asserted by third parties and including YVH's attorneys’ fees and other costs of defense incurred, that are connected with any action or omission by Buyer whatsoever that is related to Buyer’s Online Order of Hops or these Terms and Conditions, including Buyer's fault in failing to properly inspect the Hops for, or advise YVH of, any nonconformity and including any breach of confidentiality obligations.

17. Governing Law - Any and all claims arising between the parties shall be governed by the law of the state of Washington, without reference to its principles of conflicts of law.

18. Attorneys’ Fees - The prevailing party in any lawsuit shall be entitled to its reasonable attorneys’ fees, costs, and litigation expenses incurred, including in any proceeding in bankruptcy, whether in the trial court or on appeal.

19. Confidentiality - Buyer will (i) keep confidential, and not disclose, and (ii) use only in connection with sales of Hops between the parties, all of YVH’s Confidential Information that may be learned in the course of the parties’ relationship, including after that relationship ends. “Confidential Information” means all information that a party would normally keep to itself, and specifically includes manufacturing processes, pricing, product descriptions, contract terms, technical data, the nature of business relationships, product know-how, identity of customers, sales and market projections, strategies, business practices, new product development, and financial information. All Confidential Information will be protected by Buyer with at least the same degree of care as it would use with its own proprietary information. All Confidential Information will remain the property of YVH and be immediately returned to YVH on request. Notwithstanding the foregoing, Buyer may disclose Confidential Information if required by legal process or applicable law.

20. Complete and Superseding Agreement; Conflict in Terms - An Online Order, Buyer’s Account Registration, these Terms and Conditions, and the Terms of Website Usage constitute the complete agreement between the parties on the subject of that Online Order, and they replace any other agreements, understandings, representations, or discussions between the parties in connection with that Online Order. Should any Online Order conflict with these Terms and Conditions or the Terms of Website Usage, the Terms and Conditions and Terms of Website Usage shall prevail.

21. Miscellaneous Provisions - Any notice to be given to YVH must be in writing and to one or more email or physical addresses most likely to effectively reach an appropriate YVH representative. If any portion of these Terms and Conditions is held invalid or unenforceable, the remainder thereof will continue in full force and effect and the invalid or unenforceable portion will be replaced by such provision as will best effect the original intention of the parties. YVH’s failure to insist on performance of any part of these Terms and Conditions or failure to exercise any right thereunder on one or more occasions will not constitute a waiver of any right to demand future performance or to exercise a right in the future. An Online Order may not be assigned by Buyer except with the consent of YVH. YVH may assign any Online Order. Assignment will not release the assigning party from its obligations under the Online Order unless that is expressly agreed to in writing by the other party.
